Telcoin

Terms of Service

Effective date: [CONFIRM]

These terms govern your use of www.telcoin.network (the “website”), run by Telcoin Association, an association under Swiss law with its seat in Lugano, Switzerland (UID CHE-169.445.588) (“the Association”, “we”, “us”). By using the website you agree to these terms. Our Privacy Policy [link] explains how we handle personal data.

The Association is the governance body for the Telcoin Platform. It is a separate organisation from Telcoin, Inc. and from Telcoin Digital Asset Bank. Neither of them runs this website.

1. Information on the website

The website describes the Telcoin Platform and its governance. We try to keep it accurate but it may be incomplete or out of date. Where the website and a decision of the Association’s governance bodies disagree, the decision prevails.

Nothing on the website is financial, investment, legal or tax advice, a recommendation, or an offer or solicitation to buy or sell TEL or any other asset. Statements about plans and future development are not promises and may change.

2. Pages that connect to your wallet

Some pages let you connect a crypto wallet and use the Telcoin Platform: the TEL bridge, the TEL upgrade, TELx pools and swaps, the portfolio and analytics views, the eUSD vault and the testnet faucet (“the interface”).

  1. The interface only prepares transactions. You review and sign every transaction in your own wallet, and it is then carried out by smart contracts on a public blockchain. We never hold your assets or your private keys, and we cannot reverse, cancel or change a transaction once it is submitted.
  2. You are responsible for your wallet, its keys and its security, and for checking every transaction before you sign it.
  3. Smart contracts and blockchains carry risks, including software bugs, exploits, network congestion, failed transactions, changes in fees, and loss of value. Liquidity pools carry the risk that the value of your position falls relative to holding the assets. Bridged assets depend on the bridge working on both networks. Use the interface only if you understand these risks.
  4. Figures shown on the interface, such as prices, balances, pool returns and estimated fees, come from blockchain data and third-party sources. They may be delayed or wrong and are not a guarantee of what a transaction will produce.
  5. Some assets you can access through the interface, including eUSD, are issued by another party and governed by that party’s terms. [CONFIRM: eUSD issuer’s legal name and a link to its terms.]
  6. Tokens from the testnet faucet are for testing on the Adiri test network only. They have no value and cannot be exchanged for anything of value. We may limit, change or stop the faucet at any time.
  7. We may restrict access to the interface, in whole or in part, in any country or for any person, including to comply with law.

[CONFIRM, for legal: whether any part of the interface (particularly swaps, pools or the eUSD vault) requires a geographic restriction, an eligibility check or a separate risk acknowledgement before use.]

3. Who can use the interface

You may use the interface only if:

  • you are at least 18 years old and can enter a binding agreement;
  • you are not subject to sanctions imposed by Switzerland, the United Nations, the European Union, the United Kingdom or the United States, and are not in a country or region subject to comprehensive sanctions [CONFIRM: list with legal];
  • using it is lawful where you are.

4. Rules of use

You must not:

  1. use the website for any unlawful purpose, including money laundering, terrorist financing or evading sanctions;
  2. try to get around reCAPTCHA, the faucet limits or any other security or access control;
  3. put an unreasonable load on the website or its services, or use our blockchain node proxy for anything other than using the interface;
  4. scrape the website other than for indexing by a public search engine;
  5. impersonate the Association, TAO, a Council or anyone else;
  6. upload or link to malicious code.

5. Forms

If you send us an enquiry or an Application Developer membership request through the website, the information you give must be accurate and you must be authorised to give it on behalf of any organisation you name. Sending a membership request does not make you a member or an authorised Application Developer. Authorisation follows the process in the Association’s governance rules.

6. Intellectual property

The website’s content, the Telcoin name and logos belong to the Association or its licensors. You may view and share pages for non-commercial purposes. You may not use the Telcoin name or logos in a way that suggests the Association endorses you or your product without our written permission. [CONFIRM: who owns the Telcoin trade marks, the Association or Telcoin, Inc.]

Code published by the Association under an open source licence is governed by that licence.

7. Other sites

The website links to other sites and services, including the forum, block explorers, wallet providers and sites run by Telcoin, Inc. We are not responsible for their content or practices, and their own terms apply.

8. The website is provided as it is

We provide the website and the interface free of charge and as they are. We do not promise that they will be available, uninterrupted, secure or free of errors, or that any smart contract will work as intended.

9. Liability

We are not liable for any loss arising from your use of the website or the interface, including loss of digital assets, loss from a transaction you signed, or loss caused by a smart contract, blockchain, wallet or third-party service, except where we caused it intentionally or through gross negligence, or where the law that applies does not allow liability to be limited.

[CONFIRM, for legal: as in the forum terms, this follows Article 100 of the Swiss Code of Obligations. Counsel to review in light of the eUSD vault and bridge in particular.]

10. Your responsibility to us

If someone brings a claim against the Association because of your breach of these terms or your unlawful use of the website, you agree to compensate the Association for the loss reasonably caused, to the extent you were at fault.

11. Changes

We may change these terms by posting a new version here with a new effective date. If you keep using the website after that date, the new terms apply.

12. Law and disputes

These terms are governed by Swiss law, excluding its conflict of laws rules. The courts of Lugano, Switzerland have exclusive jurisdiction, subject to any mandatory right you have as a consumer to bring proceedings in the courts where you live.
